Blue Coding providesnearshore software development staffing and outsourcing services, includingconnecting clients with vetted software developers and engineering talent. Ourservices may include:
• Talentmatching and placement of software developers
• Nearshoreteam augmentation and managed development services
• Consultingand project-based software development
• Relatedprofessional and advisory services
The specific scope,deliverables, fees, and terms of any engagement will be set out in a separateMaster Service Agreement (MSA), Statement of Work (SOW), or other writtenagreement between Blue Coding and the client.
You agree to use the Siteonly for lawful purposes and in a manner that does not infringe the rights of,or restrict or inhibit the use and enjoyment of the Site by, any third party.You must not:
• Use the Sitein any way that violates applicable local, national, or international laws orregulations
• Transmit anyunsolicited or unauthorized advertising or promotional material
• Attempt togain unauthorized access to any part of the Site or its related systems
• Introduceany viruses, malware, or other harmful material to the Site
• Reproduce,duplicate, copy, or resell any part of the Site without our express writtenpermission
The Site and its originalcontent, features, and functionality are and will remain the exclusive propertyof Blue Coding and its licensors. Our trademarks and trade dress may not beused in connection with any product or service without the prior writtenconsent of Blue Coding.
Any intellectual propertyrights in work product created specifically for a client under a separatewritten agreement will be governed by the terms of that agreement.
In the course of ourbusiness relationship, each party may have access to confidential informationbelonging to the other. Both parties agree to keep such informationconfidential and not to disclose it to any third party without prior writtenconsent, except as required by law. Specific confidentiality obligations willbe detailed in any applicable NDA or MSA.
The Site and its contentare provided on an “AS IS” and “AS AVAILABLE” basis without any warranties ofany kind, either express or implied, including but not limited to impliedwarranties of merchantability, fitness for a particular purpose, or non-infringement.
Blue Coding does notwarrant that the Site will be uninterrupted, error-free, or free of viruses orother harmful components.
To the fullest extentpermitted by applicable law, Blue Coding, its officers, directors, employees,and agents shall not be liable for any indirect, incidental, special,consequential, or punitive damages, including but not limited to loss ofprofits, data, or goodwill, arising out of or in connection with your use ofthe Site or our services.
In no event shall ourtotal liability to you for all claims exceed the amount paid by you to BlueCoding in the twelve (12) months preceding the claim, or one hundred US dollars($100), whichever is greater.
The Site may contain linksto third-party websites or services that are not owned or controlled by BlueCoding. We have no control over, and assume no responsibility for, the content,privacy policies, or practices of any third-party sites. We encourage you toreview the terms and privacy policies of any third-party sites you visit.
Your use of the Site isalso governed by our Privacy Policy, which is incorporated into these Terms byreference. Termination of a serviceengagement will be governed by the applicable MSA or written agreement betweenthe parties.
These Terms shall begoverned by and construed in accordance with the laws of the State of Florida,United States, without regard to its conflict of law provisions. Any disputesarising under these Terms shall be subject to the exclusive jurisdiction of thecourts located in Florida.
We reserve the right toupdate or modify these Terms at any time. We will notify you of materialchanges by posting the new Terms on this page and updating the “Last Updated”date.
